Managed Service Terms

Last updated September 23, 2026

These Managed Service Terms (the "Managed Terms") are Service-Specific Terms under the APIANT Terms of Service (the "APIANT Terms"). They apply when Customer subscribes to the Managed service (the "Managed Service"). Terms defined in the APIANT Terms have the same meaning here. If these Managed Terms conflict with the APIANT Terms, these Managed Terms govern the Managed Service.

1. What the Managed Service is

With the Managed Service, APIANT builds, runs, maintains and supports Automations for Customer. The Automations run on the Platform, in Customer's own Account, using Customer's own connections to its Third Party Applications. The Managed Service includes:

  • the usage limits of the Managed Subscription Plan published on the Site;
  • up to five (5) hours of consulting on the first build, and up to two (2) hours of consulting in each month after that; unused hours do not carry over to later months; and
  • monitoring of the Automations APIANT builds, and repairs when they stop working as agreed.

Additional professional services are available at the hourly rate published on the Site, currently two hundred fifty U.S. dollars ($250) per hour, only when Customer approves them in advance.

2. How it starts

Customer describes what it wants built. APIANT checks the request against the API documentation of the applications involved. If the check indicates that it can likely be built, Customer may pay the first month's Fee. If the check cannot confirm it, a person at APIANT reviews the request before Customer is asked to pay. After payment, Customer books the first discovery call with APIANT, in which the parties agree what will be built (the "Scope"). APIANT will confirm the Scope to Customer in writing, which may be by email.

3. Full refund if we cannot build it

If the first discovery call shows that APIANT cannot build what Customer described, APIANT will refund the first month's Fee in full, and the Managed Service ends. Customer may ask for this refund at the discovery call or by email to support@apiant.com within seven (7) days after it.

4. Changes to what is built

Customer may ask APIANT to change the Scope at any time. APIANT will tell Customer whether the change fits within the included consulting hours or needs additional professional services, and will not charge for additional services without Customer's approval.

5. What Customer provides

Customer will give APIANT the access, connections, information and decisions APIANT reasonably needs, in good time, and is responsible for the accuracy of what it provides. APIANT will review each Automation with Customer before activating it, and Customer is responsible for approving its activation. Delays caused by missing access or information extend any timelines accordingly.

6. Ownership

As between Customer and APIANT, the Automations built for Customer in Customer's Account belong to Customer, as provided in Section 13A of the APIANT Terms. Connectors, assemblies and other Platform components that APIANT creates while providing the Managed Service are APIANT IP under Section 12 of the APIANT Terms, and Customer may use them with the Platform.

7. Fees and billing

The Fee for the Managed Service is published on the Site and is charged monthly in advance, starting with the first month at checkout. The subscription renews automatically each month until Customer cancels. A yearly arrangement, where offered, is agreed with Customer in writing. Approved additional professional services are invoiced monthly in arrears. Section 6 of the APIANT Terms applies to all Fees.

8. Cancellation

Customer may cancel the Managed Service at any time. Cancellation takes effect at the end of the current month, and Fees already paid are not refunded, except under Section 3. After cancellation, the Automations stay in Customer's Account. The Account moves to the Subscription Plan Customer chooses, or to the Free Plan, and Automations that exceed that plan's limits are switched off. APIANT's monitoring, repairs and consulting end.

9. No guarantee of results

APIANT will perform the Managed Service with reasonable skill and care. APIANT does not guarantee any particular business result, and Third Party Applications can change in ways that stop an Automation working. When that happens, APIANT will repair the Automation within the included consulting hours where it reasonably can. Sections 14, 15, 17 and 19 of the APIANT Terms apply to the Managed Service.

10. Ending the Managed Service

APIANT may end the Managed Service on thirty (30) days' notice, and immediately if Customer does not pay or materially breaches the Agreement. If APIANT ends it on notice for convenience, APIANT will refund any Fee paid for the period after the Managed Service ends.
